These terms and conditions (these "Terms") constitute a binding agreement between you and Docvia LLC (referred to as "us", "we", or "our" as the context may require) and applies to the use of FindATherapist.com (the "Site", “Website”, or “Find A Therapist”) as well as any purchase and sale of services through FindATherapist.com. As used in these Terms, “you” means any visitor, user, or other person who accesses the Site and/or the Services provided thereon, whether or not such person has registered for any account on the Site or entered into any purchase or transaction on the Site.

These Terms are subject to change by Docvia LLC without prior written notice at any time, in our sole discretion. Any changes to the Terms will be in effect as of the "Last Updated Date" referenced on the Site. You should review these Terms before purchasing any services that are available through this Site. Your continued use of this Site after the "Last Updated Date" will constitute your acceptance of and agreement to such changes.

If you do not agree to these Terms, then you may not use or access the Site or the Services provided thereon.

These Terms are an integral part of the Website Terms of Use that apply generally to the use of our Site. You should also carefully review our Privacy Policy before placing an order for services through this Site. These Terms set forth conditions regarding your access to and use of the Find A Therapist website located at https://www.findatherapist.com/ and any other services offered by Find A Therapist, including but not limited to any services related to Find A Therapist’s matching and referral platform (collectively, the "Services").

By accessing or using the Services in any manner, including but not limited to visiting or browsing the website or creating an account on the platform, you agree to be bound by these Terms.

The contents of Find A Therapist, including text, images, videos and additional material are strictly for informational purposes only. Even though the content may be a written by a licensed mental health professional, the content is not written to address your personal circumstances, diagnoses, or legal consequences in any way, shape or form to your unique circumstance(s). Always seek the direct advice of a licensed mental health professional with any questions you may have in regard to your mental health condition(s). You should never disregard the advice of a medical professional because of an article that you read on Find A Therapist.

2. Age Restriction. Use of Website is limited to adults 18 years or older. To the extent that a minor between the ages of 13 and 17 uses the Services, he or she may only do so under the supervision of his or her parent or guardian. If you are the parent or guardian using the Service on behalf of your child, you hereby agree that both you and your child/ward will be bound by these Terms and by the Privacy Policy. You may not use the Services offered on this Website if you are a minor under 18 without the supervision of your parent or guardian.

3. Informed Consent. Users of Find A Therapist who submit information via the "Send Message" form acknowledge that the information that they submit may not be sent directly to the therapist, may be handled by the intended therapist's administrative staff, or may not reach their intended destination. You agree that Docvia LLC is not responsible for the use or misuse of any information sent through the “Send Message” form. Users who submit information understand that not all submissions will be responded to by the therapist. Asking a question or sending a message to a therapist on Find A Therapist does not establish a confidential or privileged therapist/client relationship. Such a relationship can only be created through the direct and express engagement of a therapist through that therapist’s internal procedures.

You acknowledge that the information provided on the Website is to be used for informational purposes only and is not intended to, nor should it be used to, diagnose, treat, or otherwise serve as advice from a licensed medical or mental health provider.

4. Listings. Find A Therapist makes a commercially reasonable effort to validate the therapists on our search results as being active and licensed therapists. Information provided on listings on Find A Therapist is shared by therapists themselves or collected from public data sources.

Users who join Find A Therapist must provide accurate and valid information. It is the sole responsibility of the user to ensure their listing has valid and up-to-date information. Find A Therapist is not responsible for information that is invalid, incorrect or incomplete.

Docvia LLC employees or staff may edit therapist profiles from time to time to correct and add information to help complete the profiles of therapists who have signed up for a Find A Therapist account.

It is the responsibility of therapist to report disciplinary action. We will put notice on such profiles / remove profiles who misuse Find A Therapist or have a history of unprofessional or unethical behavior or have disciplinary action.

5. Unclaimed Listings. The data published on Find A Therapist is under the Freedom of Information Act (FOIA) and public data sources. Therapists who are listed on Find A Therapist that did not create an account may update their listing by visiting the Contact page, selecting Update Information On My Listing from the What can we help you with? dropdown and following the on-screen instructions.

Any falsified information entered during the Update Listing process will result in the request being deleted from our database.

6. No Doctor or Therapist/Patient Relationship. THERAPISTS, DOCTORS, AND OTHER MEDICAL PROFESSIONALS USE THE SERVICES TO SHARE CONTENT WITH YOU, BUT YOUR USE OF THIS CONTENT IS NOT A SUBSTITUTE FOR HEALTHCARE. NO LICENSED MEDICAL PROFESSIONAL/PATIENT RELATIONSHIP IS CREATED WHEN YOU USE THE SERVICES OR CONTENT. THIS IS TRUE WHETHER SUCH CONTENT IS PROVIDED BY OR THROUGH THE USE OF THE SERVICES OR THROUGH ANY OTHER COMMUNICATIONS FROM FIND A THERAPIST INCLUDING, WITHOUT LIMITATION, THE “FIND A THERAPIST” FEATURE, ANY ARTICLES FEATURED ON THIS SITE, FIND A THERAPIST EMAILS OR TEXT MESSAGE LINKS TO OTHER SITES, OR ANY ASSISTANCE WE MAY PROVIDE TO HELP YOU FIND AN APPROPRIATE HEALTHCARE PROVIDER.

Find A Therapist encourages Healthcare Providers to use the Services responsibly, but we have no control over, and cannot guarantee the availability of, any Healthcare Provider at any particular time. We will not be liable for cancelled or otherwise unfulfilled appointments, or any injury or loss resulting therefrom, or for any other injury or loss resulting or arising from, or related to, the use of the Services whatsoever.

7. Find A Therapist Badge. The Find A Therapist badge indicates that a therapist has signed up on Find A Therapist and has claimed their profile and verified their credentials with Find A Therapist. The badge nor does Find A Therapist guarantees that the therapist has an active license to practice medicine or provide mental health services, has valid credentials such as education, licensing and associations. The Find A Therapist badge is not a license, association or certification.

8. Order Acceptance and Cancellation. You agree that your order is an offer to buy, under these Terms, all services listed in your order. All orders must be accepted by us, or we will not be obligated to sell the services to you. We may choose not to accept orders at our sole discretion, even after we send you a confirmation email with your order number and details of the items you have ordered.

9. Accounts. Profiles may only be claimed by the licensed professional whose name appears on the profile. Individuals, entities or companies that claim profiles that are not their own may be be subject to legal action at the discretion of Find A Therapist. Users claiming or signing up for multiple (including 2 or more) accounts will result in access to all accounts being terminated and possible legal action. Accounts found to be created by anyone other than the account holder will be terminated without notice.

10. Types of Accounts. Find A Therapist offers three different account levels including Basic, Professional and Premium, for therapists. A Basic account gives free access for 30 days after the initial registration date. After 30 days of the initial registration date of a Basic account, the therapist must upgrade to a Professional or Premium account be able to login or access their account. Therapist listing information will be displayed on Find A Therapist any may be updated by our staff.

Email correspondence and notifications will continue to be sent to the therapist after the 30 day Basic account access has expired that notify the therapist to upgrade for continued access.

Users who have subscribed to Professional or Premium accounts have the option to cancel their account at anytime and discontinue use of Find A Therapist.

11. Deactivation of Accounts. Once a therapist deactivates their account, the therapist's listing will be displayed on Find A Therapist if the therapist did not previously subscribe to a Professional or Premium account. If the therapist did subscribe to a Professional or Premium account, the therapist's phone number will continue to be displayed until the current subscription period ends. The ability to send/receive messages and log in to their account will be revoked. Users can still log in to their account to subscribe and update their information they previously submitted. Ability to update information, sending and receiving messages will be revoked unless a Professional or Premium subscription is purchased.

12. Third Party Links and Services. While using the Services, you may encounter links to other websites. These links are provided for your convenience only and we do not endorse these sites or the products and services they provide. You acknowledge and agree that we are not responsible or liable for the content or accuracy of these other websites. Although we attempt to link to trustworthy websites, it is possible that they will contain materials that are objectionable, unlawful, or inaccurate and we will not be responsible or liable for the legality or decency of material contained in or accessed through such other websites. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third-party website or service. Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealing, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that Docvia LLC will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

13. Prices and Payment Terms.

(a) All prices, discounts, and promotions posted on this Site are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes. All such taxes will be added to your merchandise total and will be itemized in your shopping cart and your order confirmation email. We strive to display accurate price information, however, we may, on occasion, make inadvertent typographical errors, inaccuracies, or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

(b) We may offer, from time to time, promotions on the Site that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

(c) Terms of payment are within our sole discretion and payment must be received by us before we accept an order. We accept all major credit cards for all purchases. You represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any, regardless of the amount quoted on the Site at the time of your order.

14. Refunds. Due to the nature of our Services, Find A Therapist does not offer partial or full refunds. The only exception being if your account auto-renews and you would like to discontinue use of your membership within a 48 hour window upon renewal. Users who sign up for Find A Therapist services are advertising their practice. This is a non-refundable transaction.

We encourage therapists who signup for Find A Therapist to update their payment information and monitor their subscription usage.

If you cancel a subscription before the end of the Term, your profile will remain active in Find A Therapist with your phone number displayed on your profile so potential clients may contact you. Messaging will be inaccessible since user will no longer be able to login to their account without an active subscription. No refunds will be provided for partially unused months.

15. Termination. We may terminate your access to Find A Therapist, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Affiliate Relationships. Find A Therapist has affiliate relationships with websites such as BetterHelp.com, TalkSpace.com, and Zocdoc.com. When you schedule an appointment or subscribe to these websites from a link on Find A Therapist, we earn a commission. These links can be found in our search results and profile pages.

17. Third-Party Services and Content. By using the Services, Find A Therapist may provide you with a recommendation to contact a therapist, doctor, or other physical or mental health or wellness professional. While Find A Therapist has made an effort to ensure that these professionals will be suitable referrals for its users, it cannot verify the accuracy, efficacy, appropriateness, or prudence of any medical or therapeutic advice given by such professionals. Your use of these professionals is at your sole and exclusive risk.

As part of your use of the Services, Find A Therapist may provide you with access to third-party websites, information, and services, including but not limited to third-party databases, networks, servers, software, programs, systems, directories, applications, or products. You hereby acknowledge that Find A Therapist does not control such third-party websites and services, and cannot be held responsible for their content, operation, or use. Find A Therapist does not give any representation, warranty, or endorsement, express or implied, with respect to the legality, accuracy, quality, credibility, or authenticity of content, information, or services provided by such third-party websites and services.

Find A Therapist disclaims any and all responsibility or liability for any harm resulting from your use of such third-party websites, services, or professionals. You hereby irrevocably waive any claims against Find A Therapist with respect to the content or operation of any such third-party websites, services, or professionals.

18. Warranty and Disclaimers. We do not control any of the services offered on our Site. The availability of services through our Site does not indicate an affiliation with or endorsement of any service. Accordingly, we do not provide any warranties with respect to the services offered on our Site.

ALL SERVICES OFFERED ON THIS SITE ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY (A) WARRANTY OF MERCHANTABILITY; (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

19. Limitation of Liability. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.

YOU SPECIFICALLY WAIVE ANY CLAIM AGAINST DOCVIA LLC STEMMING FROM ANY RELATIONSHIP YOU FORM WITH A THERAPIST LISTED ON THE SITE.

The limitation of liability set forth above shall only apply to the extent permitted by law.

20. Privacy. We respect your privacy and are committed to protecting it. Our Privacy Policy, https://www.findatherapist.com/privacy/, governs the processing of all personal data collected from you in connection with your purchase of services through the Site.

21. Force Majeure. We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or telecommunication breakdown or power outage.

22. Governing Law and Jurisdiction. This Site is operated from the US. All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the Commonwealth of Pennsylvania without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Pennsylvania or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the Commonwealth of Pennsylvania.

23. Dispute Resolution and Binding Arbitration.

(a) YOU AND DOCVIA LLC ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE, OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT, OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE AND EQUITABLE CLAIMS) BETWEEN YOU AND US ARISING FROM OR RELATING IN ANY WAY TO YOUR PURCHASE OF SERVICES THROUGH THE SITE, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.

(b) The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules (the "AAA Rules") then in effect, except as modified by this 823.. (The AAA Rules are available at www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this section.

The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the agreement is void, voidable, or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator(s) will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction.

(c) The location of any arbitration hearing shall be in Pittsburgh, Pennsylvania.

(d) You agree to an arbitration on an individual basis. In any dispute, NEITHER YOU NOR DOCVIA LLC WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS IN COURT OR ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction.

If any provision of this arbitration agreement is found unenforceable, the unenforceable provision will be severed, and the remaining arbitration terms will be enforced.

24. Assignment. You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this 924. is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

25. No Waivers. The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of Docvia LLC.

26. No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person other than you.

27. Notices.

(a) To You. We may provide any notice to you under these Terms by (i) sending a message to the email address you provide or (ii) by posting to the Site. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current.

(b) To Us. To give us notice under these Terms, you must contact us as follows: by email to [email protected]. We may update the email address for notices to us by posting a notice on the Site. Notices provided by email will be effective one business day after they are sent.

28. Severability. If any provision of these Terms is invalid, illegal, void, or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms.

29. Entire Agreement. Our order confirmation, these Terms, our Website Terms & Conditions, and our Privacy Policy will be deemed the final and integrated agreement between you and us on the matters contained in these Terms.
